Paramount Skydance Clears Path to Acquire Warner Bros. Discovery, Including CNN

Paramount Skydance has removed the final major legal barrier to its acquisition of Warner Bros. Discovery in a transaction valued at approximately $110 billion. The deal, announced in February 2026, will place CNN, HBO, Warner Bros. film and television studios, and a slate of cable networks under the same corporate umbrella as CBS and Paramount Pictures.21
On September 21, 2026, Paramount reached a settlement with a coalition of 12 state attorneys general that had filed an antitrust lawsuit seeking to block the merger. The states dropped their case after Paramount agreed to several conditions. These include the creation of an independent editorial board to oversee journalism principles at CNN and CBS News, a commitment to release at least 30 theatrical films per year, and an additional $1.5 billion in U.S. film production spending over five years.37
David Ellison, chief executive of Paramount Skydance, told employees the transaction should close within about two weeks. Warner Bros. Discovery chief executive David Zaslav separately informed staff that the merger is expected to take effect no later than early October. Under the original agreement, Paramount would begin paying a daily ticking fee to Warner Bros. Discovery shareholders if the deal remained incomplete after September 30.36
The acquisition follows Paramount’s earlier purchase of the company that owns CBS. David Ellison’s father, Oracle co-founder Larry Ellison, provided significant financial backing for both transactions. The combined company will control two of Hollywood’s historic film studios, multiple streaming services, and two major television news organizations.
U.S. Department of Justice antitrust approval was granted in June 2026. Warner Bros. Discovery shareholders approved the sale in April 2026. Regulatory clearances have also been obtained in numerous other jurisdictions.
Once completed, the merger will create one of the largest media companies in the United States, combining extensive film libraries, television networks, and streaming platforms. Integration of operations is expected to take place over time after closing.
Impact on Streaming Services
The most immediate streaming change will be the planned combination of Paramount+ and HBO Max into a single platform. The two services together currently account for a little over 200 million direct-to-consumer subscribers worldwide. Because of existing overlap between the two subscriber bases, the unique household count after the merger will be lower than the combined total.44
HBO’s creative identity is expected to remain distinct. Company leadership has stated that HBO should continue to operate with independence so it can keep producing its established style of prestige programming. The likely outcome is one unified app that contains both libraries while keeping HBO as a recognizable programming label.46
Technology consolidation is a core part of the plan. The companies intend to merge streaming technology stacks, cloud providers, and related operations as part of an overall $6 billion synergy target. Discovery+ and Pluto TV will also fall under the same ownership. Discovery+ content may eventually be integrated into the main paid service or used to strengthen ad-supported and free streaming offerings. Pluto TV is expected to continue operating as a free ad-supported service.54
Consumers will not see immediate changes. App integration, catalog unification, account migration, and any pricing adjustments are scheduled to occur gradually after the legal close. Existing subscribers to either service will retain access during the transition.
The combined library will include major franchises such as Game of Thrones, Harry Potter, the DC universe, Top Gun, Mission: Impossible, Yellowstone, and Star Trek. No streaming assets are required to be sold as a condition of the deal. The new company will therefore control Paramount+, HBO Max, Discovery+, Pluto TV, and CNN’s digital streaming offerings under one structure.
